Terms of Service

Written to be read. If anything here is unclear, email contact@praizense.com and we will explain it in plain words.

Who you are contracting with

Praizense - Digital Presence Studio is the registered name of the business run by Rahul Batish, a sole proprietorship based in Ahmedabad, Gujarat, India. In these terms, "we" and "us" mean Praizense, and "you" means the person or business engaging us.

These terms apply to every engagement unless we have both signed something different, in which case the signed agreement wins.

How an engagement begins

You share a brief, we reply with a scope and a price, and work begins once you accept it and the first payment reaches us. Nothing is reserved in our schedule before that.

The scope we agree is the work we will do. Anything outside it is a change, and changes are quoted before we act on them rather than added silently to an invoice.

Payment

Fixed-scope projects are billed half at the start and half on handover. Larger engagements may be split across agreed milestones instead.

Monthly services are billed in advance. Where a service carries a minimum engagement — currently six months for SEO and three months for advertising and combined growth work — that minimum is stated on the service page before you commit.

WhatsApp bot subscriptions carry a six-month minimum term, after which they continue month to month.

Invoices are payable within seven days unless we agree otherwise in writing. We may pause work on overdue accounts.

Costs we pass through

Some costs belong to your business rather than to our fee: domains, hosting, paid fonts, stock assets, third-party software, advertising spend, influencer fees, and photo or video production.

We pass these through at cost with no markup. Where a service depends on a minimum spend paid to a third party — advertising budgets in particular — that figure is stated on the service page and is paid by you directly to that platform.

What we need from you

Timelines assume you supply content, access, and approvals when we ask for them. A quoted timeline is an estimate that depends on that, not a guarantee independent of it.

You confirm that any material you give us — text, images, logos, data — is yours to use, or that you hold the rights to it. We rely on that confirmation.

Ownership of the work

On full payment, the deliverables we create for you are yours. That includes the designs, the code we wrote for your project, and the content we produced for it.

We keep ownership of anything we built before your project or use across clients: our internal tooling, component libraries, and working methods. Your licence to those is perpetual and covers your use of the deliverable.

Third-party components keep their own licences, and we tell you which ones a project depends on at handover.

Unless you ask us not to, we may show the work publicly as an example of what we do.

Confidentiality

We treat what you tell us about your business as confidential and do not share it outside the studio, other than with a service provider we need in order to deliver the work.

Third-party platforms

Some services depend on platforms we do not control: Meta for advertising and WhatsApp, search engines, hosting providers, and payment processors. Their rules, approval queues, pricing, and outages are outside our control.

WhatsApp bot delivery in particular depends on Meta's business verification, which we begin on day one but cannot accelerate.

Limits of what we promise

We do the work carefully and to a professional standard. We do not promise specific commercial outcomes such as a search ranking, a volume of enquiries, or a revenue figure, because those depend on factors neither of us controls.

Our total liability for any engagement is limited to the fees you have paid us for that engagement. We are not liable for indirect or consequential losses, including lost profits or lost data.

Nothing here limits liability that cannot be limited under Indian law.

Ending an engagement

Either of us may end an engagement in writing. You pay for work completed and costs already committed up to that point. Refunds are covered separately in our Refunds & Cancellations policy.

Minimum terms on monthly services survive cancellation: ending early does not remove the balance of an agreed minimum.

Governing law

These terms are governed by the laws of India. The courts of Ahmedabad, Gujarat have exclusive jurisdiction over any dispute.

If something goes wrong, tell us first. Most problems are faster to fix than to argue about.

Changes

We may update these terms. The version on this page at the time your engagement begins is the one that applies to it.
